The State loan has been reduced by the operation of the sinking fund, constituted of the difference, 1 per cent, on the rate of interest of the company's bonds, and the State bonds loaned on the deposit of the bonds of the former.

The Louisville and Nashville Railroad Company purchased the property and franchises of the road from the State of Tennessee, October 2, 1871.

Operations for the fiscal year ending June 30, 1872.-Locomotives run-passenger, 118,152; freight, 240,408; and other, 30,374-total, 435,019 miles. Cars run-3,642,412 miles. Passengers carried, 82,664; carried one mile, 4,582,425. Gross earnings-passenger, $182,465.69; freight, $304,676.79; express, $14,640 ; and other, $3,586.30-total, $505,358.78. Operating expenses, $496,840.07. Net earnings, $8,518.71.

Financial Statement, June 30, 1871.-Capital stock, (converted from Preferences,) 52,500 shares, at £10, £525,000; funded debt, 5 p. c. bonds, due in 1872, £125,000; in 1873, £175,000; in 1874, £243,500; in 1875, £96,192; and in 1876, £123,866-total, £763,558. The common stock, amounting to 60,000, at £20 10s. per share, or £1,230,000, has been converted into Grand Trunk stock, viz., one half into 4th preference and one half into ordinary stock. Lease-rent, as per agreement of 1868-for year ending June 30, 1869, £42,500; 1870, £45,000; 1871, £50,000; 1872, £55,000; 1873, £60,000; 1874, £65,000; 1875, £66,000; 1876, £67,000; 1877, £68,000; 1878, £69,000; and 1879, and thereafter, £70,000. Interest on bonds will absorb £41,995 per annum ; and from the residue may be paid dividends on £525,000 stock, as follows: in 187071, 14 per cent; in 1872, 24 per cent; in 1873, 34 per cent; in 1874, 44 per cent, with a further small annual addition, until for the year 1878-79 and thenceforward the dividend should be at least 5 per cent. MEMPHIS AND OHIO RAILROAD.

Line of Road.-Paris, (247 m. S. W. Louisville,) Tenn., to Memphis, Tenn. 130.3 m. Sidings and other tracks, 11.88 miles. Gauge, 5 feet. Rail, 56 lbs. to yard.

The Memphis and Ohio Railroad Company having failed to pay the interest on the bonds of the State of Tennessee due July 1, 1867, the Louisville and Nashville Railroad Company took a lease of the property under conditions: to pay the interest on the State bonds then past due, to assume all debts incurred in the reconstruction and operation of the road, and to reimburse themselves from the future earnings

of the road, any surplus accruing to be paid over to the lessors. This lease was in operation from September 1, 1867, to the close of the fiscal year 1870-71, when the lessees obtained full possession by purchase of a majority of the stock, and the issue of 1st mortgage 7 per cent gold bonds to the extent of £700,000 or $3,500,000, a sum sufficient to reimburse themselves for all advances and other outlays. The cost of the road to the Louisville and Nashville RR. Company was $3,162,667.81.

Rolling Stock.-Locomotive engines, 16. Cars-passenger, 5; and freight, 123— otal, 128.

Operations for the fiscal year ending June 30, 1872.-Trains run-passenger, 231,596; freight, 267,388; and other, 49,117-total, 548,101 miles. Passengers carried, 209,696; carried one mile, 9,333,454. Gross earnings-passenger, $412, 158.18; freight, $526,366.45-total, $938,524.63. Operating expenses-passenger, $291,564.81; and freight, $406,256.54-total, $697,821.35. Earnings in excess of expenses, $240,713.28. Interest paid State of Tennessee, $143,766.60. Interest on advances, $36 834.27; old indebtedness paid, 17,349.72; leaving balances, $42,804.74. Financial Statement.-Capital stock, $1,074,288.72; 1st mortgage 7 per cent gold bonds, interest June and December, and principal June 1, 1901, £700,000, or $3,500,000. The bonds were issued for the purpose of paying the company's liabilities to the Louisville and Nashville RR. Company, and redeeming the loan from the State of Tennessee. They are guaranteed by the L. and N. RR. Company, which have now full possession of the property. According to the "financial statement" of that company, the liabilities outstanding against the M. and O. RR. July 1, 1872, amounted to $3,162,667.80.
