The capital stock has been increased by conversion of bonds, $1,815,500, and by amount of stock dividend, January 1, 1869, $904,400.

On the 23d of June, 1869, the Directors declared a dividend of five dollars per share, payable 3d of July next, free of Government tax.

Line of Road.-New Haven, Conn., to Williamsbridge, N. Y.......62.29 miles. Second track, 62.25; sidings, etc., 1.57 miles. Gauge; 4 feet 84 inches. Rail, 64 lbs. From Williamsbridge to New York, a distance of 14.50 miles, the trains of the New York and New Haven Railroad are run over the New York and Harlem Railroad under a permanent contract.

Steel rails have been laid upon about one-half the length of the New York and New Haven Railroad, and are to be speedily laid upon the whole line.

The lease of the New Haven and Northampton Railroad, 55.25 miles, terminated July 1, 1869, and said road is no longer operated by the N. Y. & N. H. RR. Co. Statement of the rolling stock of the Company, yearly, for eight years:

At the date of the last report of the Company 10 passenger cars were being constructed for the N. Y & Boston Express line, and 4 for the N. Y. & Boston Shore Line. The number of passenger cars owned in common with the two lines to Boston is 127.

Operations for the year ending March 31, 1869.-Trains run (passenger, 610,836; freight, 204,551; construction, 22,786), 838,173 miles. Passengers carried, 2,256,5894; travel, 69,247,430 miles. Freight, 124,955 tons; transportation, 6,736,230 miles. Number of trains (passenger, 9,158, averaging 6 cars and 130 tons each, and freight, 1,674, averaging 16 cars and 255 tons each), 10,832. Of the passengers, 731,618 ordinary and 500,836 commuters passed over the Harlem RR., and 1,024,135 were way passengers beyond said road; and in the aggregate 448,1284 were to and from other roads, and 1,808,461 were local passengers. Freight to and from other roads 64,296,

and local 60,659 tons. Gross earnings (passenger, $1,634,834 39; freight, $383,523 86; mail and express, $107,994 97; other, $33,708 39), $2,160,061 61; and operating expenses-including taxes, $160,602 25-$1,322,946 30; nett earnings, $837,115 31.

Income account 1868-69: On hand April 1, 1868 (cash, $377,170 59, and materials, $274,934 71), $652,105 30; forfeited stock, $47,900; insurance for loss at N. H. shops, $64,609 89; gain, N. H. & N. (Canal RR.), $3,813 73; increase in accounts payable, $29,664 88; nett earnings, $837,115 31-total, $1,635,209 11. The Legislature of the State in 1868 authorized an increase of the capital stock of the Company of $3,000,000, which amount was allotted to the stockholders pro rata, and 25 per cent. of the same called in, for which scrip has been issued. The remaining 75 per cent. will be called in as wanted to meet the expenses of permanent improvements and additions to the road and its equipment. When fully paid the capital stock of the Company will be $9,000,000.
