Excerpt from The Organization and Management of a Business Corporation: With Special Reference to the Laws of New York, New Jersey, Delaware, West Virginia; Containing and Co-Partnerships, and Provisions for the Protection of Minority Interests

The characteristic feature of modern business enter prise is combination, - of capital, energy and skill. The methods of combination are themselves modern. The present volume treats of these methods whereby interests and forces in themselves widely divergent are brought together and combined in one, easily handled, marvelously effective, legal entity - the Corporation.

Formerly business combinations were effected almost, entirely by the partnership. This was, and is, clumsy, nu certain and hazardous. Its liability is unlimited. The property of one is the property of all. Opportunities for fraud are numerous. For all the larger enterprises it has been practically superseded by the Corporation.
