An A& for eftablishing and well-governing the Charitable Inftitution called The Society of Stewards and Subfcribers for maintaining and educating Poor Orphans of Clergymen until of Age to be put Apprentice; and for incorporating fuch Society; and for more effectually enabling them to carry on their charitable and ufeful Designs.

HEREAS in the Year One thousand seven hundred and

W forty-nine, a Charitable S city was formed for maintair ing

and educating poor Orphans, of both Sexes, of Clergymen of the Church of England, until of Age to be put Apprentice; and the faid Society hath been fupported by the voluntary Subfcriptions and • Donations of charitable and well-difpofed Perfons, and a very great Number of fuch Orphans have been received into the refpective • Schools of the said Charity, and maintained and educated by means of the Funds belonging thereto; and fuch Orphans have been inftructed in the Doctrines of the Chriftian Religion as taught by the established Church, and in Reading, Writing and Arithmetic, and the Girls alfo in Needlework and Household Bufinefs, and trained in Habits of Induftry and Regularity: And Whereas Ex⚫perience hath fhewn that the faid Charity hath been hitherto of confiderable Advantage to the Publick, and it is apprehended, that • if countenanced and fupported by the Laws of this Realm, and eftablished upon a permanent Footing, and vefted with Powers for

better enabling the Subfcribers thereto to carry into Execution ⚫ their charitable and useful Defigns, the faid Charity would be of • much more extenfive Ufe, and of till greater Benefit and Advantage to the Publick: And Whereas the Purposes aforefaid cannot be ' effected without the Authority of Parliament;' May it therefore please Your moft Excellent Majefly that it may be enacted; and be it enacted by the King's moft Excellent Majefty, by and with the Advice and Confent of the Lords Spiritual and Temporal, and Commons in this prefent Parliament affembled, and by the Authority of the fame, That from and after the paffing of this A&t, there be and shall Corporation be a Corporation to continue for ever, for clothing, maintaining, and erected for educating poor Orphans of Clergymen until of Age to be put Ap- clothing, mainprentice; and that His Royal Highnels Frederick Duke of York taining and Knight of the Moft Noble Order of the Garter, His Highness educating poor William Frederick Duke of Gloucefler Knight of the Moft Noble Orphans of Clergymen. Order of the Garter, the Moft Reverend his Grace Charles Lord Archbishop of Canterbury, the Right Honourable John Lord Eldon Lord High Chancellor, the Honourable and Moft Reverend his Grace Edward Venables Lord Archifhop of York, [&c. &c.] together with any Perfon or Perfous who hath or have paid, at one Time, or in the Courfe of any one Year for the Ufe of the faid Society, the Sum of Twenty-one Pounds or more, or at any Time hereafter fhall pay into the Hands of the Treafurer of the faid Society for the Time being the Sum of Twenty-one Pounds, or fuch other Sum as the General Court herein-after mentioned of the faid Society fhall from Time to Time appoint or prefcribe as a Life Governor's Subfcription, or more, at one Time, or in the Course of any one Year, for the Ufe of the faid Society, provided the fame be accepted by the Committee herein-after mentioned for the time being of the faid Society, fhall be and are hereby appointed Governors of the faid Society; and alfo every Person who hath paid, or at any Time hereafter fhall pay into the Hands of fuch Treasurer the Yearly Sum of One Guinea, or such other Sum as the faid General Court shall from Time to Time appoint or prefcribe as an Annual Governor's Subfcription, or more, for the Ufe of the faid Society, provided the fame be accepted by the faid Committee as aforefaid, shall, during fuch Time as they fhall refpectively continue to pay the fame, and alfo every Perfon who fhall be appointed by any General Court of the Governors of the faid Society, fhall be refpectively Governors of the fad Society; and the faid Governors, and the Prefident, Vice-Prefident, Treafurer, and Secretary of the faid Corporation for the Time being fhall be and they are hereby declared and adjudged to be One Body Corporate and Politick in Deed and in Law, by the Name of The Governors of the Society for clothing, maintaining, and educating the Body poor Orphans of Clergymen of the Etablished Church, in that Corporate. Part of the United Kingdom of Great Britain cailed England, until of Age to be put Apprentice;' and that by the fame Name they fhall have perpetual Succeffion, and a Common Seal, with Power Common Seal. to change, alter, break, and make new the fame, when and as often

as they hall judge the fame to be expedient; and that they and their Power to fue. Succeffors, by the fame Name, may fue and be fued, implead and be impleaded, anfwer and be answered unto, in all or any Court or Courts of Record and Places of Judicature within this Kingdom; and that they and their Succeffors, by the Name aforefaid, fhall he

able and capable in Law to have, hold, receive, enjoy, poffefs and retain, for the Ends and Purposes of this Act, and in Truft and for the Benefit of the faid Society, all fuch Sum and Sums of Money as have been paid, given, devised, or bequeathed, or fhall at any Time or Times hereafter be paid, given, devifed or bequeathed by any charitable or well-difpofed Perfon or Perfons, to and for the charitable Ends and Purposes in this Act mentioned; and that they and their Succeffors by the Name aforefaid, fhall and may at any Time hereafter, without Licence in Mortmain, purchase, take or receive, hold and enjoy any Lands, Tenements or Hereditaments, or any Eftate or Interest arifing or derived out of any Lands, Tenements or Hereditaments for the Purposes of the faid Charity.

II. And be it further enacted, That the faid Beilby Lord Bishop of London fhall be and he is hereby appointed Prefident of the said Corporation; and that the faid Clement Samuel Strong Esquire fhall be and he is hereby appointed the Vice-Prefident of the faid Corporation; and that the faid James Bush Efquire fhall be and he is hereby appointed Treasurer of the faid Corporation; and that the faid Reverend Edward Embry fhall be and he is hereby appointed Secretary of the faid Corporation; and that the Moft Reverend his Grace Charles Lord Archbishop of Canterbury, [&c. &c.] together with the Prefident, Vice-Prefident, Treafurer, and Secretary of the said Corporation for the Time being, fhall be and they are hereby appointed a Committee for tranfacting and managing the Affairs of the faid Corporation, any Five of whom fhall be a Quorum; and the faid Prefident, Vice-Prefident. Treasurer, Secretary, and Committee, fhall continue until the laft Tuesday in the Month of February One thoufand eight hundred and Ten and no longer, unless they fhall be refpectively re- elected to the faid refpe&tive Offices; and the faid Prefident, or in his Abfence the Vice-Prefident, or the Treasurer or the Secretary, with any Seven or more of the other Members of the faid Corporation, fhall compofe a General Court, and the first General Court fhall be holden on the laft Turfday in the Month of May next, at fuch Houfe or Place as the faid Committee fhall appoint; and a General Court of the Members of the faid Corporation fhall be holden Four Times at the leaft in every Year; that is to fay, in the Months of February, May, Auguft, and November in every Year, and Notice of each fuch General Courts fhail be given in one or more of the publick Newfpapers published in the Cities of London and Waminfler Six Days at the leaft before the Time fo to be appointed for the holding of every fuch Court; and whenever Occafion fhall require, a ipecial General Court fhall be holden by Order of the Committee, or the major Part of them prefent at any of their Monthly or other Meetings, upon the like Notice of fuch Special General Court being given Six Days at the leaft before the Time fo to be appointed for the holding of the fame; and at the General Court which fhall be holden in the Month of February in each and every Year, a Prefident, Vice-Prefident, Treafurer, Secretary, and Committee (confifting of Twenty of the Governors of the fa'd Corporation) fhail be elected for the enfuing Year; and the Prefident, Vice-Prefident, Treafurer, and Secretary of the faid Corporation for the Time being, fhall be Members of the faid Committee, over and above fuch Twenty Governors fo to be elected; and they the faid Prefident, Vice-President, Treafurer, and Secretary, or one of them, fhall be prefent at every

Committee acting under and by virtue of the Authority of this A&t; Power of and the Governors of the faid Corporation affembled at any General Committee to Court as aforefaid, or the major Part of them fo affembled, fuch meet. Number of Governors fo to be affembled being not lefs than Seven of fuch Governors fhall and may delegate fuch Powers and Authority to the faid Committee as they fhall think neceffary for the more fpeedy, easy, and effectual Execution of this A&t; and that fuch Governors fhall have full Power and Authority in the Name of the faid Corporation, and on their Account to apply and dispose of the Monies and Funds already given, and which fhall from Time to Time be contributed and given by any Perfon or Perfons on account of the said Corporation, and all other Monies and Funds belonging or to belong to the faid Corporation, to and for the Purposes aforefaid, and to, for, and on any other Purpose, Way, Matter or Thing relating to the faid Corporation, and for the Benefit thereof, at their Difcretion, and with and under their Common Seal, to enter into any Covenants ard Contracts for the Purposes aforefaid, or for any other Purpose or Purposes for the better effecting and carrying on of the charitable Ufes and Defigns aforefaid, and to do, manage, tranfact, and determine all fuch other Matters and Things as fhall to them or any Seven or more of them at any fuch Court, appear to be neceffary, convenient, or proper for the effe&ting and carrying on of the good Purposes aforefaid; and it fhall be lawful for the Governors of the Bye-Laws, faid Corporation in a General Court affembled, or the major Part of them fo affembled, but not lefs than Seven fuch Governors, to order and difpofe of the Cuftody of the faid Common Seal, and the Use and Application thereof, and to make, ordain, and conftitute fuch and fo many Bye Laws, Conftitutions, and Ordinances as to them, or the greatest Number of them then and there prefent, fuch Number of Governors fo to be affembled being not lefs than Seven fuch Governors, fhall feem neceffary and convenient, touching or in any wife concerning the Affairs and Bufinefs, and the better governing, regulating, ordering and managing of the faid Corporation, and of the Officers, Servants, and Perfons employed in and about the Affairs thereof, and of the Perfons applying to be admitted therein, and for the auditing of the Accounts of the faid Corporation; and the fame Bye-Laws, Conftitutions and Ordinances fo made to put in use and enforce accordingly; and at their Will and Pleafure from Time to Time to revoke, change, and alter the fame, or any Part of them; which faid Bye-Laws, Conflitutions, and Ordinances, which fhall be fo made, changed and altered, as aforefaid, fhall be duly kept and obferved, provided that the fame be not contrary or repugnant to the Statutes, Cuftoms, or Laws of that Part of the United Kingdom called England : Provided nevertheless, that no fuch Bye-Law, Conftitution, or Ordi. nance fhall be binding or have any Force or Effect until the fame fhall have been agreed to and confirmed by the next fucceeding General Court, whether Quarterly or Extraordinary; and that the fame Course fhall be obferved in altering or repealing any fuch Bye-Laws, Conftitutions, or Ordinances.

III. And be it further enacted, That all and every Perfon and Prefent Trustees Perfons in whofe Name or Names any Sum or Sumas of Money, Stocks, fhall transfer Funds, Annuities, Mortgages, Securities for Money or other Effects their Funds to whatfoever shall at the Time of paffing this Act ftand or be fecured, the Corporation. the beneficial Intereft wherein refpectively fhall belong to the faid

Society hereby incorporated, fhall forthwith, after the paffing of this Act, transfer and affign the fame refpectively fo and in fuch Manner as that the fame shall be vefted in the Corporation by the Name, Style, and Title herein-before mentioned and enacted; and that the Treasurer for the Time being fhall receive all Rents, Iffues and Profits, Dividends, Intereft and Produce of Stocks, Funds, Annuities, Mortgages and other Securities for Money, belonging to the faid Corporation, and all Subfcriptions, Donations, Benefactions and Legacies paid, given, or bequeathed thereto, as the fame or any of them fhall from Time to Time become due and payable, in the Name and for and on behalf of the faid Corporation; and that the Receipt of the faid Treasurer for the Time being, the fame being firft duly ftamped and given by him as for and in the Name of the faid Corporation, fhall be a fufficient Difcharge for the fame refpectively.

IV. And be it further enacted, That it fhall be lawful for the Treasurer for the Time being of the faid Corporation, and he is hereby authorized and required from Time to Time, by and with the Confent and Approbation of the Committee thereof for the Time being, or the major Part of fuch Committee prefent at any of their Meetings, to lay out and inveft ali or any fuch Sum or Sams of Money as have or hath been given, devifed or bequeathed, or fhall at any Time er Times hereafter be paid, given, devifed or bequeathed by any charitable or well-difpofd Perfon or Perfons, to and for the charitable Ends, Intents, and Purposes in this A& mentioned, or any Part thereof, in any of the Publick Funds, in the Name of the faid Corporation, other than and except fuch and fo much thereof as fhall be requifite for immediate Exigencies and Expenditures.

V. And be it further enacted and delared, That the Rents, Iffues and Profits, Dividends, Intereft and Annual Proceeds, which shall from Time to Time arife from the Funds and Securities belonging or which shall at any Time belong to the faid Corporation, fhall from Time to Time be applied to and for the Ufes, Ends, Intents, and Purposes in this Act mentioned, and to or for no other Ufe, Intent, or Purpose whatsoever.

VI. Provided always, and be it further enacted, That in cafe of the Death or Refignation of the Prefident or of the Vice-Prefident, or Treasurer or Secretary of the faid Corporation, for the Time being, it fhall be lawful for the Governors of the faid Corporation, at any General Court, or the major Part of them then and there prefent, such General Court to confist of not lefs than Seven fuch Governors. to nominate and appoint a Prefident, Vice Prefident, Treasurer, or Secretary, in the Room of the Pretident, Vice-Prefident, Treasurer or Secretary, fo deceafed or having refined.

VII. And be it further enacted, That all Queftions upon the Proceedings of the faid Corporation at any General Court or Committee fhall be decided by Vote; and 'n cafe of an Equality of Voices, the Prefident or Chairman fhali have, in addition to his own Vote, the cafting Vote.

VIII. And be it further enacted, That the Governors of the faid Corporation at a General Court, or the major Part of them prefent at fuch General Court, but fuch General Court to confift of not lefs than Seven fuch Governors, fhall have Power from Time to Time and at all Times to fill up any Vacancy or Vacancies in the Committee; and it shall and may be lawful to and for the said Committee, so to be
